Welcome to the website of Aldeyra Therapeutics, Inc. (“Aldeyra Therapeutics,” “we,” “our” or “us”) (the “Site”).

By accessing and using the Site, you agree to follow and be bound by these terms and conditions without modification, including Aldeyra Therapeutics’ privacy policy which discloses our practices regarding the collection and use of your personal information and may be accessed here (these terms and conditions and such privacy policy collectively referred to herein as the “Terms”). Aldeyra Therapeutics’ privacy policy is incorporated in the Terms by this reference. If you do not agree to follow and be bound by the Terms, you may not access, use, or download any materials or information from the Site. If you are an entity, organization, or company, the individual accepting the Terms on your behalf represents and warrants that he or she has the authority to bind you and you agree to be bound by the Terms.

Indemnity

Assignment

You may not assign, delegate or transfer the Terms or your rights or obligations hereunder in any way (by operation of law or otherwise) without Aldeyra Therapeutics’ prior written consent. We may transfer, assign or delegate the Terms and our rights and obligations without consent. The Terms inure to the benefit of Aldeyra Therapeutics’ successors, assigns and licensees.

Governing Law

The Terms are governed by and will be construed under the laws of the Commonwealth of Massachusetts, without regard to the conflicts of laws provisions thereof. For all purposes of this Agreement, the parties consent to exclusive jurisdiction and venue in the state or federal courts located in, the Commonwealth of Massachusetts.

Miscellaneous

The failure of either you or us to exercise, in any way, any right herein shall not be deemed a waiver of any further rights hereunder. If any provision of the Terms is found to be unenforceable or invalid, that provision will be limited or eliminated, to the minimum extent necessary, so that the Terms shall otherwise remain in full force and effect and enforceable. You and Aldeyra Therapeutics agree that the Terms are the complete and exclusive statement of the mutual understanding between you and Aldeyra Therapeutics regarding the subject matter in the Terms and that it supersedes and cancels all previous written and oral agreements, communications and other understandings relating to the subject matter of the Terms.
